Subject : Report on the results of the last Exercise (ESOP)

To : President The Stock Exchange of Thailand

As the AGM No.1/2006 of The Erawan Group Public Company Limited ("The Company"), held on 25 April 2006 passed the resolution to increase the Company's registered capital for the right to purchase ordinary shares by the directors and employees of the Company and/or its subsidiaries under the Employee Stock Ownership Program ( which has been approved by the EGM No. 1/2004 on 4 November 2004 ) and for reserving to adjust the right under the event specified in the adjustment of the exercise price and the exercise share amount as specified in the ESOP Program.

Thus, the directors and employees are entitled to exercise their rights to purchase the 1st lot of ordinary shares for one-forth of total allocated ordinary shares, exercisable between 1 June 2005 and 30 December 2008. The 2nd lot of ordinary shares is for another one-forth of total allocated ordinary shares, exercisable between 1 June 2006 and 30 December 2008. The 3rd lot of ordinary shares is for another one-forth of total allocated ordinary shares, exercisable between 1 June 2007 and 30 December 2008. . The 4th lot of ordinary shares is for another one-forth of total allocated ordinary shares, exercisable between 1 June 2008 and 30 December 2008. The exercise dates are the Company's first and last business days of every month throughout the exercise period.

The Company would like to inform the results of the last exercise of share purchase on 30 December 2008 that there were not directors and/or employees using their rights to exercise. Thus ,the total remaining 12,802,420 un-exercised shares were cancelled due to the ending of program and the Company will proceed to decrease its registered capital further.
